GENERAL TERMS AND CONDITIONS

The following terms and conditions (hereinafter referred to as "the Agreement") shall apply to the User's use of Bricksite ApS's (hereinafter referred to as "Bricksite") online services and online modules which are hosted and provided by Bricksite (hereinafter referred to as "the System").

1 Creation
1.1
Upon creation of his user profile, the User shall enter a username and an email address, which are to be used as contact information in future. The User can subsequently enter further contact information in his user profile, including name and address. If the User has purchased additional services, contact information such as name and address as well as CVR no. (central business register number in Denmark), if any, is mandatory.
 
1.2
The User shall be responsible for making periodical updates of his contact information, including email address, so that Bricksite can always get in contact with the User.
 
1.3
Failure to update user contact information shall be deemed material breach of the Agreement, cf. clause 11.2.
 
1.4
The User acknowledges and agrees to receive ordinary information messages as well as legally binding messages from Bricksite via the stated email address. The email address which is stored in the System shall be the binding contact information in the event of can-cellation of the User's profile, until the email address is changed to another email address by the User, after which the new email address shall be the binding contact information in the event of cancellation of the user profile.

The processing and storage of the User's contact information and other personally identi-fiable data are consistent with the Danish Act on Processing of Personal Data (in Danish: "Lov om behandling af personoplysninger"), cf. clause 12.
 
2
Services and level of service
2.1

Description of services

Bricksite hosts the User's website and provides the User with a basic package consisting of ten (10) web pages and 25 MB of storage space as well as a series of standard modules for the creation of a website.

The User can, at his own option, purchase additional web pages, storage space, functions and modules, which – depending on the choice of the aforementioned services – may in-volve subscriptions, cf. clause 9.

In the absence of a separate agreement to the contrary between the User and Bricksite, Bricksite is entitled to upload information about Bricksite, including name, logo and link, on the User's website, including any subpage belonging thereto. The User may not remove nor make any attempts to remove such information uploaded by Bricksite.

 

2.2

Delivery

Bricksite will make the agreed services available to the User once Bricksite has registered the order and/or payment thereof.

 

2.3

Uptime

Bricksite endeavours to provide an uptime of 100% for the System and the User's website, but Bricksite shall not assume any liability to the User for such uptime standard.

 

2.4

Backup

Backup of the User's data, including uploaded material, shall be the sole responsibility of the User, and Bricksite shall not, in any case, be responsible for any loss of data suffered by the User. The User is therefore encouraged to perform backups of all uploaded data.

Bricksite performs daily backups of the System.

 

3 Rights
3.1
Upon creation of his login and approval of the Agreement, the User obtains a temporary and non-exclusive right to use the online services and modules chosen by the User.
 
3.2

The User may only use the online services and modules comprised by the Agreement as offered online by Bricksite. The User has no rights to any services or modules in the form of objects or codes. The User shall not, under the Agreement, obtain the rights to any kind of material of which a third party holds rights that may be comprised by Bricksite's mod-ules; other than the right of use expressly stated in this Agreement.

 

3.3
In the absence of a separate agreement to the contrary between the User and Bricksite, all rights to the System, including ownership and intellectual property rights, are reserved by Bricksite.
 
4

The User's right of cancellation

4.1
The User acknowledges and agrees that the service will be supplied immediately after reg-istration for and/or payment of the service requested, and that the User cannot subse-quently regret or cancel the order, cf. s. 18(4) of the Danish Consumer Agreements Act (in Danish: "Forbrugeraftaleloven").
 
4.2
No right of cancellation shall apply if the User is a businessman.
 
5 Maintenance
5.1

Bricksite undertakes to periodically maintain the System by recovering errors, so that the continuous operation of the System is kept intact to the maximum extent possible.

 

5.2
During the process of maintenance, the System and/or the User's website may be fully or partially inaccessible to the User. Bricksite shall not be liable in any way to the User in such cases.
 
6 Errors and omissions
6.1

System errors

System errors shall be defined as all errors not relating to the User's use of the System.

System errors can be reported on Bricksite's support site.

Bricksite endeavours to recover all system errors as quickly as possible. Bricksite is under an obligation to recover all system errors within a reasonable time limit, which may never be shorter than 20 working days.

 

6.2

User errors

User errors shall be defined as all errors relating to the User's use of the System or all er-rors caused by the User's lack of knowledge of accessible documentation and instructions.

All documentation and instructions to be used for the System are available on Bricksite's support site at http://support.bricksite.com. Bricksite is not obliged to provide any further instructions than those available on Bricksite's homepage or support site.

Bricksite provides support functions allowing the User to submit questions to Bricksite. The support only comprises instructions and specific advice on the use of the System, and the User shall particularly be aware that the following conditions are not included in the support provided by Bricksite:

  • All errors and problems caused by equipment and telecommunication links or third-party software, and which are not ascribable to the System.
  • Questions relating to the equipment of the User or any third party.
  • Questions not relating to the use of the System or, in any other way, to the services of Bricksite.

Bricksite shall not be responsible for the recovery of any user errors or for ensuring that the User, within a specific time limit, receives replies to messages submitted to the help desk support.

Bricksite reserves the right to invoice for any time spent on replying to messages that are related to user errors or not comprised by the Bricksite help desk support. Bricksite is only entitled to issue such invoices provided that Bricksite, prior to the recovery of any error, has notified the user about the invoicing procedure.

 

7
Legality etc

The User is only entitled to upload material and to use the System for purposes that are not inconsistent with the Agreement and any other rules of law.

THE USER WARRANTS THAT HE HOLDS ALL THE RIGHTS TO THE CONTENT ON THE WEB-SITE AT ALL TIMES. BRICKSITE SHALL NOT ASSUME ANY LIABILITY FOR THE LEGALITY OF THE CONTENT UPLOADED ON THE USER'S WEBSITE.

The User warrants that he has obtained all the required consents, including consent in ac-cordance with the Danish Marketing Practices Act (in Danish: "Markedsføringsloven"), if newsletters or similar kinds of marketing material are sent out from the User's website.

In accordance with the terms of the Agreement, all pornographic material and the like, or material which is generally offensive, including any kind of material encouraging the use of violence or other kinds of harmful behaviour, may not be uploaded. Neither is it permitted to link to such material from the User's website.

If a third party should raise claims against Bricksite, including claims for damages, as a re-sult of the contents on the User’s website, the User shall be obliged to fully and effec-tually indemnify Bricksite from and against all or any claims and expenses arising out of or in connection with such claim, including litigation costs and attorney’s fees and expenses. This provision shall remain in force irrespective of whether a third-party claim is deemed unwarranted at a later date.

 

8

Assignment

8.1

The User's assignment of the right of use

In the absence of a written agreement to the contrary between the User and Bricksite, the User is not entitled to transfer or assign his right of use to any third party, whether it be through sale, leasing, lending or in any other way.

Resale of Bricksite's services for business purposes requires the conclusion of a separate agreement with Bricksite.

 

8.2

Bricksite's assignment

Bricksite is entitled to transfer or assign any right or obligation to a third party at Brick-site’s sole discretion. Bricksite may use sub-suppliers at any time and at its sole discretion.

 

9 Prices and terms of payment 
9.1

Payment

The User shall pay for all acquired services in advance when placing the order thereof. Subscriptions run for a period of one year, after which they are automatically renewed for another one-year period, unless the Agreement has expired before than, cf. clause 11.

Currencies are stated on Bricksite's homepage.

Unless otherwise stipulated, the prices listed for Danish users comprise duty and all other taxes, including VAT.

Bricksite accepts payment in different currencies, depending on the country from which the System is accessed. Unless otherwise specified, all prices listed include Danish taxes.

The User shall pay the price applying at the time of ordering the service concerned and upon extension of the subscription period.

 

9.2

Price adjustments

Bricksite is entitled to adjust its prices without prior notice.

For the future, Bricksite may charge for services that used to be free of charge. However, as regards existing users, Bricksite shall give the User one month's prior notice in these cases. This period shall begin to run from the time at which Bricksite sends out its notice of the price adjustment.

 

10 Amendments to the Agreement
10.1

Bricksite is entitled to make amendments to the Agreement at any time by giving three months' prior notice. If Bricksite has not received a notice from the User about the cancel-lation of the Agreement, in pursuance of Clause 11, before the expiry of the notice period, the amendments are deemed to have been accepted by the User and shall automatically take effect after the expiry of the period indicated under this Clause.

 

Notice of amendments to the Agreement will be sent to the email address stated by the User, cf. clause 1.4.

 

11 Expiry
11.1

Cancellation

Agreements on free services may be cancelled by the User at any time, without prior no-tice, via the function "Delete website". By giving one month's prior notice, Bricksite may cancel the User's access to free services. Upon expiry of the notice period, Bricksite will cease to provide the service concerned, and the User's website will be removed from the System. The User will subsequently no longer have access to the website and the up-loaded data. Since the User is solely responsible for all backup procedures, cf. clause 2.4., the User is encouraged to perform backups of his own data.

Agreements on ongoing acquired services may be cancelled by either party with three months' prior notice. Upon expiry of the notice period, Bricksite will cease to provide the service concerned. The User's website will be removed from the System and he will sub-sequently no longer have access to the website and the uploaded data. Since the User is solely responsible for all backup procedures, cf. clause 2.4., the User is encouraged to per-form backups of his own data in due time before the expiry of the notice period.

 

11.2

Termination

Bricksite is entitled to terminate this Agreement in part or in full if the User commits any material breach. Failure to perform any one of the contractual obligations imposed on the User shall be deemed material breach of the Agreement.

Notice to the User about material breach of the Agreement will be sent to the email ad-dress entered by the User, cf. clause 1.4. This shall be deemed fulfilment of Bricksite's ob-ligation of notification. Bricksite may subsequently close the User's website and/or cease to provide any additional services, in accordance with the terms of the Agreement.

If Bricksite fails to perform its contractual obligations under the Agreement, the User shall be entitled to terminate the Agreement in writing, following the expiry of any period of error recovery, cf. clause 6.1. The termination of the Agreement shall take effect ten (10) days after Bricksite’s receipt of notice thereof, provided that Bricksite has not cured or remedied the breach within this period.

 

11.3

Suspension

Bricksite is entitled to suspend the access to the User's website or the User's access to the System at any time if Bricksite from a third party or of its own motion receives information showing that the website or the User's use of the System is not compatible with the rules of law, or that the website contains material that is inconsistent with this Agreement or which, at Bricksite's discretion, is offensive to the general public.

Bricksite may similarly suspend the access to the User's website or the User's access to the System if Bricksite finds that the User's website or the User's use of the System in-volves data traffic of an uncommonly high volume or of an uncommon nature in general.

Bricksite's suspension of the access to the User's website or of the User's access to the System shall be without any liability to the User. Bricksite will immediately send a notifica-tion email to the User. On the basis of the User's subsequent contact to Bricksite, Bricksite will determine whether the Agreement shall be terminated or whether the suspension shall be discontinued.

 

12 Personal data
12.1

Registration and storage of personal data by Bricksite

Upon the User's creation of a user profile and website, Bricksite registers and stores per-sonal data, including the User's name, CVR no. (central business register number in Denmark), address, telephone number and email address, provided that the User enters such information. Information about email address is required to create a user profile and website, and name and address as well as CVR no. (central business register number in Denmark), if any, are also required information if the User has purchased additional services.

The User's contact information is exclusively stored by Bricksite and used for the purpose of maintaining proper management of the User's association with Bricksite.

Furthermore, the User's personal data will be used for search engine optimisation and statistical purposes.

Bricksite does not store the User's credit card information, including Creditcard details.

 

12.2

Processing and disclosure of personal data

Bricksite shall only act on the instructions of the User. Bricksite shall take all the necessary technical and organisational safety measures to protect information against accidental or unlawful destruction, loss or modification, and against disclosure to any third party, un-authorised use, or any other form of processing regarded as being inconsistent with the Danish Act on Processing of Personal Data (in Danish: "Lov om behandling af personoplysninger").

Against payment of time-related costs in accordance with Bricksite’s general hourly rate, Bricksite shall, upon request from the User, provide the User with sufficient information for him to ensure the adoption of the technical and organisational safety measures stated above.

Bricksite will not disclose any personally identifiable information to a third party, except for data which the User makes accessible on his website.

 

12.3

Technical information

Bricksite's website only uses cookies to a limited extent. A cookie is a small file saved on the User's computer. Cookies do not contain personal information as such but are used for the purpose of identifying the computer from which the User has gained access to Brick-site, in order to create a good user experience for the User.

When the User visits Bricksite's website, Bricksite uses cookies to register the User's login information, provided that the User so requests. If the User does not wish to accept such cookies, the browser can be set up to automatically deny cookies or to notify the User every time a website requests to save cookies. Bricksite recommends that the User uses the help function in the browser to obtain further information.

For each and every visit on Bricksite's website, the User's IP address is also registered. The IP address is the address on the computer from which the User visits Bricksite's website. The IP address is registered in order to ensure that Bricksite can always track the com-puter used for access if the User's visit on Bricksite's website results in improper use, un-lawful conduct or the like.

 

12.4

The User's publication of personal data

The User warrants that the collection and publication of personally identifiable informa-tion via Bricksite’s system are in compliance with the rules of law, including the Danish Act on Processing Personal Data (in Danish: "Lov om behandling af personoplysninger").

Bricksite shall not assume any liability for the unlawful publication of personal data issued by the User on his website.

 

13 Limitation of liability 
13.1
Bricksite shall not in any way be held liable for conditions or circumstances that relate to the non-performance of the User’s contractual obligations under the Agreement. 
 
13.2
BRICKSITE SHALL NEVER BE HELD LIABLE FOR ANY INDIRECT LOSSES SUFFERED BY THE USER, INCLUDING BUT NOT LIMITED TO CONSEQUENTIAL DAMAGE, OPERATING LOSS, LOSS OF PROFITS, THIRD-PARTY CLAIM OR LOSS OF DATA.
 
13.3
BRICKSITE SHALL NOT BE LIABLE FOR ANY LOSS CAUSED BY SYSTEM ERRORS.
 
13.4
IF BRICKSITE, DESPITE THE ABOVE PROVISIONS, SHOULD BE HELD LIABLE, SUCH LIA-BILITY SHALL ALWAYS BE LIMITED TO THE FEE PAID BY THE USER 12 MONTHS PRIOR TO THE ACCRUAL OF THE CLAIM.
 
13.5
DESPITE THE PROVISIONS ABOVE, BRICKSITE SHALL NEVER BE LIABLE TO PAY TO THE USER A TOTAL AMOUNT EXCEEDING DKK 10,000.00, SAY TEN THOUSAND DANISH KRONER.
 
13.6
The provisions stipulated above shall also apply to product liability, so far as permitted by law.
 
14 Force Majeure
14.1
No party shall be liable for any loss or damage suffered by the other party where such loss or damage is a direct or indirect result of events beyond the parties' control (Force Majeure).
 
14.2
Among other events, Force Majeure shall comprise war, mobilisation, natural disasters, strikes, lockout, fire, water damage, marketing restrictions, the occurrence of computer virus or hacker attacks, illness or death of key staff, IT or system failure, failure or errors in communication systems, and all other unforeseen events or circumstances which the party concerned could not reasonably have avoided.
 
14.3

Where one of the parties is affected by events of Force Majeure for a period exceeding 40 days, either party is entitled to terminate this Agreement in part or in full for the future. If the Agreement is terminated due to reasons of Force Majeure, neither of the parties may raise a claim for damages against the other party.

 

15 Governing law and jurisdiction
15.1
The Agreement between the parties shall be governed in accordance with the laws of the Kingdom of Denmark to the extent that the User, under present law, can conclude such an agreement on choice of law, excluding the rules of Danish law concerning international choice of law.
 
15.2
If the User is a businessman, any dispute between the parties arising out of this Agree-ment without the possibility of amicable settlement shall be resolved before the Aarhus City Court.
 
16 Original text
16

On the construction of any disagreement concerning the contents of this Agreement, the Danish version shall be the original text.

SALGS- OG LEVERINGSBETINGELSER

Nærværende salgs- og leveringsbetingelser (herefter benævnt ”Aftalen”) fastlægger de vilkår, der gælder for Brugerens anvendelse af Bricksite ApS’ (herefter benævnt ”Bricksite”) online-services og online moduler, der hostes og udbydes af Bricksite (herefter benævnt ”Systemet”).


1 Oprettelse
1.1
Ved oprettelse af brugerprofil skal Brugeren indtaste et brugernavn og en e-mail, der fremadrettet vil blive anvendt som kontaktoplysning. Brugeren kan efterfølgende indtaste yderligere kontaktoplysninger i sin brugerprofil, herunder navn og adresse. Såfremt Brugeren har tilkøbt ydelser, er kontaktoplysninger som navn og adresse og eventuelt CVR-nummer obligatoriske oplysninger.
 
1.2
Det er Brugerens ansvar løbende at opdatere sine kontaktoplysninger, herunder sin e-mail-adresse, således at Bricksite altid kan kontakte Brugeren.
 
1.3
Manglende opdatering af Brugerens kontaktoplysninger anses for væsentlig misligholdelse af aftalen, jf. punkt 11.2.
 
1.4
Brugeren accepterer at modtage almindelige orienteringsbeskeder og juridisk bindende meddelelser fra Bricksite via den oplyste e-mail-adresse. Den e-mail-adresse, der ligger i Systemet, er bindende kontaktoplysning i forbindelse med opsigelse af Brugeren, indtil den ændres til en anden e-mail-adresse af Brugeren, hvorefter den nye e-mail-adresse er gældende som bindende kontaktoplysning i forbindelse med opsigelse.
 
1.5
Brugerens kontaktoplysninger og andre personhenførbare oplysninger behandles og opbevares i overensstemmelse med Lov om behandling af personoplysninger, jf. punkt 12.
 
2 Ydelse og serviceniveau
2.1 
Beskrivelse af ydelsen

Bricksite hoster Brugerens hjemmeside og stiller en basispakke bestående af 10 sider og 25 MB lagerplads samt en række standardmoduler til udarbejdelse af en hjemmeside til rådighed for Brugeren.

Brugeren kan efter eget valg tilkøbe flere sider, ekstra plads og yderligere funktioner og moduler, hvilket – alt efter valg af førnævnte ydelser – kan indebære abonnementsbetaling, jf. også punkt 9.

Medmindre Brugeren har indgået særskilt aftale med Bricksite om andet, er Bricksite berettiget til på Brugerens hjemmesider, herunder enhver underside, at indsætte oplysninger om Bricksite, herunder navn, logo og link. Sådanne oplysninger må ikke fjernes eller forsøges fjernet af Brugeren.

 

2.2
Levering
 
Bricksite stiller de aftalte ydelser til rådighed for Brugeren, når bestilling og/eller betaling heraf er registreret hos Bricksite.
 
2.3

Oppetid

Bricksite tilstræber at Systemet og Brugerens hjemmeside har en oppetid på 100 %, men påtager sig dog intet ansvar herfor over for Brugeren.

 

2.4
Backup
 
Ansvar for backup af Brugerens data, herunder uploadet materiale, påhviler Brugeren selv, og Bricksite er under ingen omstændigheder ansvarlig for Brugerens tab af data. Det anbefales derfor, at Brugeren selv foretager backup af alt data.
 
Bricksite foretager daglig backup af Systemet.
 
3 Rettigheder 
3.1
Ved Brugerens oprettelse af log-in og godkendelse af Aftalen opnår Brugeren en tidsbegrænset og ikke-eksklusiv brugsret til de af Brugeren valgte online services og moduler.
 
3.2
Brugeren må alene anvende de af Aftalen omfattede online services og moduler, som disse udbydes online af Bricksite. Brugeren har ingen rettigheder til services og moduler i objekt- eller kodeform. Brugeren opnår ikke i medfør af Aftalen rettigheder til materiale, hvortil tredjemand har rettigheder, som måtte være indeholdt i Bricksites moduler, bortset fra den i nærværende Aftale udtrykkeligt anførte brugsret.
 
3.3 
Medmindre Brugeren har indgået særskilt skriftlig aftale med Bricksite om andet, har Bricksite alle rettigheder, herunder ejendomsrettigheder og immaterielle rettigheder, til Systemet.
 
4 Brugerens fortrydelsesret
4.1
Brugeren accepterer, at levering af ydelsen påbegyndes umiddelbart efter oprettelse og/eller betaling af den bestilte ydelse, og at Brugeren efter dette tidspunkt ikke kan fortryde eller afbestille produktet, jf. Forbrugeraftalelovens § 18, stk. 4.
 
4.2
Er Brugeren erhvervsdrivende ydes ingen fortrydelsesret.
 
5 Vedligeholdelse
5.1
Bricksite vil løbende vedligeholde Systemet ved at rette fejl, således at en kontinuerlig drift opretholdes i videst muligt omfang. 
 
5.2
Under vedligeholdelse kan Systemet og/eller Brugerens hjemmeside være helt eller delvist utilgængeligt for Brugeren. Bricksite har intet ansvar overfor Brugeren i sådanne tilfælde.
 
6 Fejl og mangler
6.1

Systemfejl

Ved systemfejl forstås fejl, som ikke hidrører fra Brugerens anvendelse af Systemet.

Fejlmelding af systemfejl kan foretages på Bricksites supportside.

Bricksite bestræber sig på at iværksætte afhjælpning af systemfejl hurtigst muligt. Bricksite har pligt til at afhjælpe systemfejl inden for en rimelig frist. Den rimelige frist vil altid være på mindst 20 arbejdsdage.

 

6.2

Brugerfejl

Ved brugerfejl forstås fejl, som hidrører fra Brugerens anvendelse af Systemet eller skyldes Brugerens manglende kendskab til tilgængelig dokumentation og vejledning. 

Dokumentation og vejleding til brug for Systemet findes på Bricksites supportside http://support.bricksite.com. Bricksite er ikke forpligtet til at levere yderligere vejledning end den, der forefindes på Bricksites hjemmeside eller supportside.

Bricksite stiller supportfunktioner til rådighed, hvor Brugeren har mulighed for at stille spørgsmål til Bricksite. Supporten omfatter alene vejledning og konkret rådgivning i anvendelse af Systemet, og Brugeren skal navnlig være opmærksom på, at følgende forhold ikke er omfattet af Bricksites support:

  • Fejl og problemer, som er forårsaget af udstyr og teleforbindelse eller tredjepartssoftware, og som ikke kan tilskrives Systemet;
  • Spørgsmål vedrørende Brugerens eller tredjeparts udstyr og/eller software;
  • Spørgsmål som ikke vedrører brugen af Systemet eller på anden vis har forbindelse til Bricksites ydelser.

Bricksite påtager sig ikke ansvar for afhjælpning af brugerfejl, eller for at Brugeren modtager besvarelse af henvendelser til support indenfor en bestemt frist.

Bricksite forbeholder sig ret til at fakturere det tidsforbrug, Bricksite anvender til besvarelse af henvendelser, der vedrører brugerfejl, eller som ikke er omfattet af Bricksites support. Bricksite er alene berettiget til at fakturere, såfremt Bricksite forud for påbegyndelse af fejlretning har givet Brugeren meddelelse herom.

 

7 Lovlighed m.v.
 

Brugeren har alene ret til at anvende Systemet til formål og ved hjælp af materiale, som ikke er i strid med Aftalen og lovgivningen i øvrigt.

BRUGEREN INDESTÅR FOR TIL ENHVER TID AT HAVE ALLE RETTIGHEDER TIL ALT INDHOLD PÅ HJEMMESIDEN. BRICKSITE PÅTAGER SIG INTET ANSVAR FOR LOVLIGHEDEN AF INDHOLDET PÅ BRUGERENS HJEMMESIDE.

Brugeren indestår for, at Brugeren har indhentet de fornødne samtykker, herunder samtykke efter Markedsføringsloven, såfremt der sker udsendelse af nyhedsbreve eller lignende markedsføring fra Brugerens hjemmeside.

Det er i medfør af Aftalen ikke tilladt at uploade pornografisk materiale og lignende eller materiale som er alment stødende, herunder materiale, som opfordrer til vold eller anden skadelig adfærd. Det er ej heller tilladt at linke til sådant materiale fra Brugerens hjemmeside.

Såfremt Bricksite skulle blive mødt med krav, herunder erstatningskrav, fra tredjemand som følge af indholdet på Brugerens hjemmeside, er Brugeren forpligtet til at skadesløsholde Bricksite for ethvert krav og omkostning i så henseende, herunder sags- og advokatomkostninger. Dette gælder også, selvom kravet fra tredjemand senere viser sig at være uberettiget.

 

8 Overdragelse 
8.1

Brugerens overdragelse af brugsret

Medmindre Brugeren skriftligt aftaler andet med Bricksite, er Brugeren ikke berettiget til at overdrage sin brugsret til tredjepart, uanset om dette måtte ske ved salg, udleje, udlån eller på anden måde.

Erhvervsmæssigt videresalg af Bricksites ydelser forudsætter, at der indgås en særskilt aftale med Bricksite.

 

8.2

Bricksites overdragelse

Bricksite kan overdrage enhver ret og forpligtelse til tredjemand efter Bricksites eget valg og er til enhver tid berettiget til at anvende underleverandører efter Bricksites eget valg.

 

9 Priser og betalingsbetingelser 
9.1 

Betaling

Brugeren betaler forud for tilkøbte ydelser ved bestilling heraf. Abonnementer løber i en periode på et år, hvorefter de automatisk fornyes for en ny et-års periode, medmindre Aftalen forinden da er ophørt, jf. punkt 11.

Valuta angives på Bricksites hjemmeside.

Medmindre andet er angivet er priserne for danske Brugere inklusiv told og øvrige afgifter, herunder moms.

Brugeren betaler den pris, som er gældende ved Brugerens bestilling af pågældende ydelse henholdsvis ved forlængelse af abonnementsperiode.

 

9.2 

Justering af priser

Bricksite kan uden varsel justere sine priser.

Bricksite kan uden varsel for fremtiden opkræve betaling for en ydelse, som hidtil har været uden beregning. For eksisterende Brugere giver Bricksite dog Brugeren 1 måneds varsel i sådanne situationer. Fristen regnes fra det tidspunkt meddelelse om prisændring er afsendt fra Bricksite.

 

10

Ændring af Aftalen 

10.1

Bricksite kan til enhver tid ændre i Aftalen med et varsel på 3 måneder. Har Bricksite ikke inden udløbet af denne frist modtaget Brugerens opsigelse af Aftalen i medfør af punkt 11, anses ændringerne for accepteret af Brugeren og træder automatisk i kraft efter udløb af fristen i nærværende bestemmelse.

Varsling af ændringer i Aftalen sker til den af Brugeren angivne e-mail-adresse, jf. ligeledes punkt 1.4.

11 Ophør
11.1

Opsigelse

Aftaler om gratis ydelser kan til enhver tid opsiges af Brugeren uden varsel ved at anvende funktionen ”Slet hjemmeside”. Bricksite kan med 1 måneds varsel opsige Brugerens adgang til gratis ydelser. Bricksite vil efter varslets udløb stoppe levering af den pågældende ydelse, ligesom Brugerens hjemmeside fjernes fra Systemet. Brugeren har herefter ikke længere adgang til hjemmesiden og de uploadede data. Det anbefales derfor, at Brugeren tager en kopi af Brugerens egne data, idet ethvert ansvar for backup påhviler Brugeren, jf. punkt 2.4.

Aftaler om løbende tilkøbte ydelser kan opsiges af begge parter med 3 måneders varsel. Efter opsigelsesvarslets udløb stopper Bricksites levering af den pågældende ydelse. Brugerens hjemmeside fjernes fra Systemet, og Brugeren har ikke længere adgang til hjemmesiden og de uploadede data. Det anbefales derfor Brugeren i god tid inden udløb af opsigelsesvarslet, selv at tage kopi af Brugerens egne data, idet ethvert ansvar for backup påhviler Brugeren, jf. punkt 2.4.

 

11.2

Ophævelse

Bricksite er berettiget til at ophæve Aftalen helt eller delvist i tilfælde af Brugerens væsentlige misligholdelse. Som væsentlig misligholdelse betragtes enhver tilsidesættelse af de forpligtelser, der påhviler Brugeren i medfør af Aftalen.

Meddelelse til Brugeren om væsentlig misligholdelsen sendes til den af Brugeren indtastede e-mail-adresse, jf. punkt 1.4., hvilket betragtes som opfyldelse af Bricksites orienteringsforpligtelse. Bricksite kan herefter uden varsel lukke Brugerens hjemmeside og/eller stoppe med at levere yderligere ydelser i henhold til Aftalen.

I tilfælde af Bricksites væsentlige misligholdelse af sine forpligtelser i henhold til Aftalen kan Brugeren skriftligt ophæve Aftalen for fremtiden efter udløb af Bricksites afhjælpningsfrist, jf. punkt 6.1. En af Bricksite modtaget ophævelse får virkning 10 dage efter, den er kommet frem til Bricksite, såfremt Bricksite ikke forinden har afhjulpet misligholdelsen.

 

11.3

Suspension

Bricksite er til enhver tid berettiget til at suspendere adgangen til Brugerens hjemmeside eller Brugerens adgang til Systemet, såfremt Bricksite fra tredjemand eller af egen drift modtager oplysning om, at hjemmesiden eller Brugerens anvendelse af Systemet ikke overholder lovgivningen, eller hjemmesiden indeholder materiale, som er i strid med nærværende Aftale, eller som efter Bricksites vurdering forekommer at være stødende for almenheden.

Tilsvarende kan Bricksite suspendere adgang til Brugerens hjemmeside eller Brugerens adgang til Systemet såfremt Bricksite konstaterer, at Brugerens hjemmeside, eller Brugerens anvendelse af Systemet medfører datatrafik, som har et usædvanligt omfattende omfang, eller som har usædvanlig karakter i øvrigt.

Såfremt Bricksite suspenderer adgangen til Brugerens hjemmeside eller Brugerens adgang til Systemet, sker dette uden ansvar overfor Brugeren. Bricksite vil straks fremsende orienterende e-mail til Brugeren. På baggrund af Brugerens efterfølgende henvendelse til Bricksite afgør Bricksite, om Aftalen skal ophøre, eller suspensionen hæves.

 

12 Persondata
12.1

Bricksites registrering og opbevaring af persondata

Ved Brugerens oprettelse af brugerprofil og hjemmeside registrerer og opbevarer Bricksite persondata, herunder Brugerens navn, CVR-nummer, adresse, telefonnummer og e-mail, såfremt Brugeren indtaster disse oplysninger. E-mail-adresse er obligatorisk oplysning for at kunne oprette en brugerprofil og hjemmeside, ligesom navn og adresse og eventuelt CVR-nummer er obligatorisk, såfremt Brugeren har tilkøbt ydelser.

Brugerens kontaktoplysninger opbevares udelukkende af Bricksite og benyttes for at opretholde en god og hensigtsmæssig håndtering af Brugerens tilknytning til Bricksite. Endvidere benyttes Brugerens personoplysninger til hjemmesideoptimering og statistiske formål.

Bricksite opbevarer ikke Brugerens Dankort- og kreditkortoplysninger.

 

12.2

Behandling og videregivelse af persondata

Bricksite handler alene efter instruks fra Brugeren. Bricksite skal træffe de fornødne tekniske og organisatoriske sikkerhedsforanstaltninger mod, at oplysninger hændeligt eller ulovligt tilintetgøres, fortabes eller forringes samt mod, at de kommer til uvedkommendes kendskab, misbruges eller i øvrigt behandles i strid med Lov om behandling af personoplysninger.

Bricksite skal mod betaling efter tidsforbrug i henhold til Bricksites almindelige timepris på Brugerens anmodning give Brugeren tilstrækkelige oplysninger til, at denne kan påse, at de nævnte tekniske og organisatoriske sikkerhedsforanstaltninger er truffet.

Bricksite videregiver ikke personhenførbare oplysninger til tredjemand bortset fra de oplysninger, Brugeren selv gør tilgængelig på egen hjemmeside.

 

12.3

Tekniske oplysninger

Bricksites hjemmeside anvender kun i begrænset omfang cookies. En cookie er en lille fil, som lagres på Brugerens computer. Cookies indeholder ikke personoplysninger i sig selv, men anvendes til at identificere den af Brugeren anvendte computer over for Bricksite med henblik på at skabe en god brugeroplevelse for Brugeren.

Når Brugeren besøger Bricksites hjemmeside anvender Bricksite cookies til at registrere Brugerens log-in oplysninger, såfremt Brugeren ønsker dette. Ønsker Brugeren ikke at acceptere disse cookies, kan browseren indstilles til automatisk at afvise cookies eller underrette Brugeren hver gang et websted anmoder om at gemme cookies. Bricksite anbefaler, at Brugeren benytter browserens hjælpefunktion for at få flere oplysninger.

I forbindelse med hvert besøg på Bricksites hjemmeside registreres endvidere den af Brugeren anvendte IP-adresse. IP-adresse er adressen på den computer, som Brugeren anvender til at besøge Bricksites hjemmeside. IP-adressen registreres for at sikre, at Bricksite altid kan finde tilbage til den anvendte computer, såfremt der måtte ske misbrug, ulovligheder eller lignende i forbindelse med Brugerens besøg på Bricksites hjemmeside.

 

12.4

Brugerens gengivelse af persondata

Brugeren indestår selv for, at indsamling og offentliggørelse af personhenførbare oplysninger gennem Bricksites system sker i overensstemmelse med lovgivningen, herunder Lov om behandling af personoplysninger.

Bricksite påtager sig intet ansvar for Brugerens ulovlige gengivelse af personoplysninger på Brugerens hjemmeside.

 

13 Ansvarsbegrænsning
13.1
Bricksite kan på ingen måde gøres ansvarlig for forhold, som kan henføres til Brugerens manglende opfyldelse af sine forpligtelser i henhold til Aftalen.
 
13.2
BRICKSITE KAN ALDRIG GØRES ANSVARLIG FOR BRUGERENS INDIREKTE TAB, HERUNDER, MEN IKKE BEGRÆNSET TIL TAB FOR FØLGESKADE, DRIFTSTAB, AVANCETAB, KRAV REJST AF TREDJEMAND ELLER TAB AF DATA.
 
13.3
BRICKSITE ER IKKE ANSVARLIG FOR TAB, SOM MÅTTE SKYLDES SYSTEMFEJL.
 
13.4
SKULLE BRICKSITE TIL TRODS FOR OVENSTÅENDE VÆRE ERSTATNINGSANSARLIG, ER BRICKSITES ANSVAR ALTID BEGRÆNSET TIL DET VEDERLAG, SOM BRUGEREN HAR BETALT 12 MÅNEDER FORUD FOR ERTATNINGSKRAVETS OPSTÅEN.
 
13.5
BRICKSITES SAMLEDE ERSTATNINGSANSVAR OVER FOR BRUGEREN KAN UANSET OVENSTÅENDE ALDRIG OVERSTIGE DKK 10.000,00.
 
13.6
Ovenstående gælder også produktansvar i det omfang, præceptiv lovgivning ikke er til hinder herfor.
 
14 Force Majeure
14.1
Ingen af parterne kan gøres ansvarlige for skade, som den anden part måtte lide som direkte eller indirekte følge af, at parten er ramt af force majeure.
 
14.2
Som force majeure betegnes bl.a. krig, mobilisering, naturkatastrofer, strejke, lockout, brand, vandskade, handelsrestriktioner, virus- eller hackerangreb, nøglemedarbejderes sygdom eller dødsfald, IT- og systemnedbrud, nedbrud eller fejl i kommunikationssystemer samt andre uforudsete omstændigheder, som den pågældende part ikke ved udfoldelse af rimelige anstrengelser kunne forhindre.
 
14.3
Foreligger der force majeure hos en af parterne i mere end 40 dage kan hver af parterne hæve Aftalen helt eller delvist for fremtiden. Ved ophævelse på grund af force majeure kan ingen af parterne kan kræve erstatning.
 
15 Lovvalg og værneting
15.1
Aftalen mellem parterne er underlagt dansk ret i det omfang, Brugeren efter gældende lovgivning kan indgå i sådan aftale om lovvalg, dog med undtagelse af dansk rets regler om internationalt lovvalg.
 
15.2
Såfremt Brugeren er erhvervsdrivende, skal tvister mellem parterne, der udspringer af Aftalen, og som ikke kan løses i mindelighed, afgøres ved Retten i Århus.
 
16 Forrang
16.1
Såfremt der måtte opstå fortolkningstvivl i forhold til Aftalen, vil den danske udgave af Aftalen have forrang frem for oversatte udgaver.
